Corporate & Contracts Lawyer

About Avance Labs

Avance Labs accelerates the transition of hard-to-abate industries. Based in Abu Dhabi Global Market (ADGM), we help steel producers, industrial gas companies, fuel suppliers and project developers decarbonize commodity supply chains and bring first-of-a-kind industrial projects to financial close.

Our data-driven, AI-augmented platform combines three things: the I-TRACK (HX) Hydrogen Product Code, a certification methodology for hydrogen and its derivatives; the Digital Product Passport, which records the carbon footprint of a product as it moves through the supply chain; and the Project Bankability Engine, which helps developers address the regulatory, technology, offtake and financing risks that keep new projects from being financed.

We are looking for a Corporate & Contracts Lawyer to join our legal team. Reporting to the Legal Counsel, you will manage the commercial contract pipeline, protect our intellectual property through NDAs and contract terms, handle company secretarial matters in ADGM and support fundraising.  Intellectual property

  • Protect proprietary software, algorithms and trade secrets through confidentiality and IP assignment provisions in commercial and corporate agreements.
  • Coordinate with external patent and trademark attorneys to maintain the company’s IP register.
  • Monitor compliance with internal IP clearance procedures for technology sharing and joint development.

 Corporate governance and ADGM administration

  • Manage company secretarial matters for ADGM and international entities, including board resolutions, shareholder minutes and corporate records.
  • Act as the operational contact for the ADGM Registration Authority, including license renewals, ultimate beneficial ownership (UBO) declarations and Economic Substance Regulations filings.
  • Maintain up-to-date corporate registers and equity records for all group companies.

 Fundraising and transactions

  • Support the Legal Counsel with drafting and coordination during venture capital rounds and strategic investments.
  • Manage virtual data rooms, coordinate legal due diligence and cross-check disclosure schedules for institutional, sovereign and climate-focused investors.

Experience

  • Two to four years’ post-qualification experience (PQE), ideally in the corporate and commercial department of a law firm or in-house in technology or energy.
  • Working knowledge of English common law and the ADGM legal framework.
